Terms of Service

Plain English summary: By hiring PHIT Web, you agree to these terms. We deliver what we promise. You own your finished website. We do not guarantee specific search rankings. Payment is due on schedule. Either party can cancel with written notice. We are not liable for losses beyond what you paid us.

1. Agreement and Acceptance

These Terms of Service ("Terms") form a legally binding agreement between you ("Client," "you," or "your") and Pithe Digital Group LLC, an Oregon limited liability company doing business as PHIT Web ("PHIT Web," "we," "us," or "our"). By requesting our services, signing a proposal or statement of work, or making a payment, you agree to be bound by these Terms in full.

If you do not agree to these Terms, do not use our services. We reserve the right to update these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.

2. Services Provided

PHIT Web offers the following services, as detailed in your selected package or agreed-upon project scope:

  • Web Design & Development: Design, build, and delivery of custom websites for service-based businesses.
  • Search Engine Optimization (SEO): On-page SEO, technical SEO, keyword research, metadata, structured data, and local SEO strategies.
  • Content Marketing: Copywriting, blog content, landing pages, and city/service-area targeting pages.
  • Additional services as outlined in a written proposal, statement of work, or package agreement.

The specific deliverables, timeline, and pricing for your project will be defined in your proposal or package agreement. In the event of any conflict between these Terms and a signed project proposal, the project proposal controls.

3. SEO and Results Disclaimer

IMPORTANT — Please read carefully: PHIT Web does not guarantee specific search engine rankings, traffic levels, leads, conversions, or revenue results. Search engine algorithms are controlled entirely by third parties (Google, Bing, etc.) and change frequently without notice. While we apply industry-best SEO practices, no one can guarantee specific positions on search engine results pages (SERPs).

Any projections, estimates, or examples of potential outcomes shared during our sales process are illustrative only — they are not guarantees or warranties of future performance. Results vary significantly based on industry, competition, location, client responsiveness, and factors outside our control.

By engaging PHIT Web for SEO services, you acknowledge and accept that results are not guaranteed and that you will not seek a refund based solely on search engine rankings or traffic outcomes.

Content marketing and digital marketing services

PHIT Web does not guarantee specific outcomes from content marketing, blog publishing, city landing pages, or any other digital marketing services, including but not limited to: organic traffic volume, lead generation rates, phone call volume, conversion rates, or revenue. The effectiveness of content marketing depends on variables beyond our control, including your industry, local competition, how your business handles incoming inquiries, and ongoing changes to search engine and AI platform algorithms. Results are not guaranteed for any digital marketing service we provide.

4. Payment Terms

Project payments

Unless otherwise agreed in writing, the following payment schedule applies:

  • 50% deposit due before work begins (non-refundable after project kickoff)
  • Remaining 50% due upon project completion, before final files are delivered or the site goes live

For larger or ongoing engagements, a milestone-based payment schedule will be outlined in the project proposal.

Late payments

Invoices not paid within 14 days of the due date may incur a late fee of 1.5% per month on the outstanding balance. PHIT Web reserves the right to pause or suspend work on any project with an overdue balance until payment is received.

Accepted payment methods

We accept payment by check, bank transfer, Venmo, Zelle, or other methods agreed upon in writing. All amounts are in U.S. dollars.

5. Intellectual Property and Ownership

Client ownership

Upon receipt of final payment in full, the Client owns all deliverables created specifically for their project, including the finished website files, custom graphics, and written content produced exclusively for their business.

Third-party assets

Stock photography, licensed fonts, icon libraries, plugins, themes, frameworks, or other third-party components remain subject to their respective licenses. PHIT Web will disclose any third-party assets used and, where required, provide the appropriate license for client use.

PHIT Web's rights

PHIT Web retains the right to display completed work in our portfolio, case studies, website, and marketing materials unless the Client requests confidentiality in writing prior to project kickoff. General methodologies, workflows, code snippets, and templates developed by PHIT Web are not transferred and remain our intellectual property.

Pre-payment

All work product remains the intellectual property of PHIT Web until final payment is received in full. Partial payment does not transfer any ownership rights.

6. Client Responsibilities

The success of your project depends on timely collaboration. You agree to:

  • Provide accurate and complete information about your business, services, and goals
  • Respond to questions, review requests, and requests for content or approvals within 5 business days
  • Supply any required materials (logos, photos, existing copy, login credentials) on an agreed timeline
  • Ensure you have the legal right to use any content, images, or materials you provide to us
  • Designate a single point of contact for the project to prevent conflicting instructions

Project delays caused by client unresponsiveness or late delivery of materials may result in revised timelines. PHIT Web is not responsible for delays caused by the Client's failure to provide required content or approvals.

7. Revisions and Scope Changes

Each package includes a defined number of revision rounds as stated in the project proposal. Revisions are limited to adjustments within the agreed project scope — they do not include new features, additional pages, or fundamental redesigns.

Requests that fall outside the original project scope will be treated as a new scope of work and billed at our standard hourly rate or quoted as a separate project. PHIT Web will notify you in writing before beginning any out-of-scope work.

8. Refund and Cancellation Policy

Cancellation by client

You may cancel your project at any time with written notice to info@phitweb.com. The following applies:

  • Before project kickoff: Full refund of any deposit paid.
  • After project kickoff: The initial 50% deposit is non-refundable. If additional payments have been made beyond the deposit, a refund may be issued for work not yet completed, at PHIT Web's sole discretion, based on documented hours and deliverables.
  • After final delivery: No refund is available after the completed project has been delivered and accepted.

Cancellation by PHIT Web

PHIT Web reserves the right to terminate any project for cause (including non-payment, abusive conduct, or requests to produce illegal or unethical content). In such cases, you will be refunded for work not yet completed, less any reasonable costs already incurred.

Ongoing retainers

Monthly retainer agreements (e.g., ongoing SEO or content services) may be cancelled by either party with 30 days' written notice. Fees for the notice period are due regardless of whether work is requested during that period.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: PHIT Web's total liability to you for any claim arising out of or related to our services shall not exceed the total fees paid by you to PHIT Web in the three (3) months immediately preceding the event giving rise to the claim.

PHIT Web is not liable for:

  • Indirect, incidental, special, consequential, or punitive damages of any kind
  • Loss of revenue, profits, business opportunities, or customers
  • Losses resulting from search engine algorithm changes, ranking fluctuations, or de-indexing
  • Losses caused by hosting provider outages, domain expiration, or third-party service failures
  • Any content, materials, or information supplied by the Client that results in a legal claim
  • Unauthorized access to your website, hosting account, or data after final delivery

10. Indemnification

You agree to indemnify, defend, and hold harmless PHIT Web, its owners, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of our services
  • Content, materials, or information you provide to us
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Any claim that content you directed us to produce infringes a third party's rights

11. Content and Legal Compliance

You warrant that all content, materials, and information you provide to PHIT Web for use in your project:

  • Is accurate and not misleading
  • Does not infringe any copyright, trademark, or other intellectual property right
  • Does not violate any applicable law, regulation, or third-party rights
  • Complies with all applicable advertising and consumer protection laws

PHIT Web reserves the right to decline or remove any content that, in our sole judgment, violates applicable law, is defamatory, deceptive, or poses a reputational or legal risk to either party.

12. Hosting and Maintenance

Unless specifically included in your package, PHIT Web does not provide web hosting, domain registration, or ongoing website maintenance. We will deliver your completed project files for you to upload to your hosting provider of choice.

Post-launch support, updates, or maintenance services are available at an hourly rate or as a separate retainer agreement. PHIT Web is not responsible for issues arising from your hosting environment, server configuration, or changes made to the website after final delivery.

13. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the course of the project. PHIT Web will not disclose your confidential business information to third parties without your written consent, except as required by law or as necessary to complete your project (e.g., sharing content with a subcontractor under a confidentiality agreement).

14. Independent Contractor

PHIT Web is an independent contractor, not an employee, partner, joint venture partner, or agent of the Client. Nothing in these Terms creates any employment, partnership, or agency relationship between the parties. PHIT Web is solely responsible for its own taxes, insurance, and business expenses.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or our services shall be resolved as follows:

  • Step 1 — Good faith negotiation: Both parties agree to attempt to resolve any dispute through direct communication within 30 days of written notice.
  • Step 2 — Mediation: If negotiation fails, either party may request non-binding mediation through a mutually agreed mediator.
  • Step 3 — Binding arbitration or litigation: Unresolved disputes shall be settled by binding arbitration under the rules of the American Arbitration Association, or in a court of competent jurisdiction in Oregon, at PHIT Web's election.

You waive any right to participate in a class-action lawsuit or class-wide arbitration against PHIT Web.

16. Force Majeure

PHIT Web shall not be liable for delays or failures in performance caused by circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, government actions, internet or infrastructure outages, third-party platform failures, or acts of God.

17. Entire Agreement

These Terms, together with any signed project proposal or statement of work, constitute the entire agreement between you and PHIT Web with respect to our services and supersede all prior agreements, understandings, and representations. No waiver of any term shall be deemed a further or continuing waiver of that term or any other term. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
